Durban Chamber - Message from CEO2015-10-21 The Durban Chamber of Commerce and Industry Board and Council have resolved to convert the Durban Chamber’s statutory status from its outdated formation under Natal Law 31 of 1884 to a Non Profit Company (NPC) under the companies act. As such the Board has adopted the MOI as drafted by Cox Yeats.
Under the MOI the Board must be comprised of 11 directors. A requirement under the Income Tax Act in respect of the Chamber’s PBO status is that no three directors can be connected persons in relation to each other. Nominees must be Ordinary Members or Life Members, or representatives of Ordinary Members in good standing.Only paid up members are entitled to submit nominations.All nominations must be duly proposed and seconded by another Ordinary Member or Life Member. Nominees must have agreed to stand for election as Directors (by signing the attached nomination form). Nominations must be returned to the Chief Executive Officer. If there are more than five nominations, the Chief Executive Officer shall despatch ballot papers to all Ordinary Members and Life Members to vote. Each Ordinary Member and Life Member shall have 1 vote. The five nominees with the highest votes shall be elected as Directors. Members are invited to nominate between one and five people (nomination form attached). Nominations must be submitted to the CEO’s office.
